1. Agreement to Terms

By accessing or using the SIEYO platform at https://www.sieyo.io ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and SIEYO ("we", "our", "us"), a company registered in England and Wales, with its principal place of business in London, United Kingdom.

2. Definitions

• "Platform" — the SIEYO web application, APIs, and all related services
• "Account" — your registered user account on the Platform
• "Tenant" — the organisation or business entity associated with an Account
• "Content" — any data, text, files, documents, or materials uploaded to or generated by the Platform
• "AI Features" — any artificial intelligence or automated functionality provided by the Platform

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. By creating an Account, you represent and warrant that you meet these requirements.

4. Account Registration and Security

To use the Platform, you must create an Account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your Account
• Notifying us immediately of any unauthorised access or security breach
• Ensuring that all users within your Tenant comply with these Terms

We reserve the right to suspend or terminate Accounts that violate these Terms or pose a security risk.

5. Description of Services

SIEYO is a multi-tenant SaaS platform that provides AI-powered business management tools, including but not limited to:

• Finance and invoicing management
• Human resources and payroll processing
• Customer relationship management (CRM)
• Communications and messaging
• Marketing, social media, and advertising tools
• Document management and AI-assisted analysis
• Task and calendar management
• Third-party integrations

We reserve the right to modify, update, or discontinue any feature of the Service at any time with reasonable notice.

6. Subscriptions and Payments

6.1 Plans

The Platform is offered under various subscription plans. Plan details, pricing, and feature availability are displayed on the Platform and may change from time to time.

6.2 Billing

By subscribing to a paid plan, you agree to pay all applicable fees. Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise specified.

6.3 Refunds

Fees are generally non-refundable, except where required by applicable law or at our sole discretion. If you cancel your subscription, you will retain access until the end of your current billing period.

6.4 Price Changes

We may change our prices at any time. We will provide at least 30 days' written notice before any price increase takes effect.

7. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious software, viruses, or harmful code
• Attempt to gain unauthorised access to the Platform or other users' data
• Interfere with the operation, security, or integrity of the Platform
• Use the Platform for fraudulent, deceptive, or illegal purposes
• Reverse-engineer, decompile, or disassemble any part of the Platform
• Resell, sublicense, or redistribute the Service without our written consent
• Scrape, crawl, or use automated means to extract data from the Platform

8. Intellectual Property

8.1 Our Property

The Platform, including its design, code, features, branding, and AI models, is the intellectual property of SIEYO and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you ownership of any part of the Platform.

8.2 Your Content

You retain ownership of all Content you upload to the Platform. By uploading Content, you grant us a limited, non-exclusive licence to store, process, and display your Content solely for the purpose of providing the Service to you.

8.3 Feedback

If you provide suggestions, ideas, or feedback about the Platform, we may use them without obligation or compensation to you.

9. AI Features and Automated Decisions

The Platform uses artificial intelligence to provide insights, recommendations, and automated actions. You acknowledge that:

• AI-generated outputs are provided for informational and assistive purposes only
• AI outputs should not be treated as professional legal, financial, tax, or medical advice
• You are responsible for reviewing and verifying AI-generated content before acting on it
• We do not guarantee the accuracy, completeness, or suitability of AI outputs
• Certain actions require explicit user approval before execution, as defined by our permission system

10. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy and Data Deletion Policy. By using the Service, you consent to the collection and use of your data as described in those policies.

We implement appropriate technical and organisational measures to protect your data in accordance with UK GDPR and applicable data protection laws.

11. Third-Party Integrations

The Platform allows you to connect third-party services (e.g. Google, Xero, HubSpot, Facebook). When you enable an integration:

• You authorise us to access and process data from that third-party service on your behalf
• Your use of the third-party service remains subject to that provider's own terms and policies
• We are not responsible for the availability, accuracy, or security of third-party services
• You can disconnect integrations at any time through the Platform

12. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Our total liability to you for any claims arising from the Service shall not exceed the total fees you have paid to us in the 12 months preceding the claim

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless SIEYO and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or generate through the Platform

14. Termination

Either party may terminate the agreement:

• You may cancel your Account at any time by contacting us at sieyohub@outlook.com
• We may suspend or terminate your Account immediately if you breach these Terms, fail to pay applicable fees, or engage in activity that harms the Platform or other users

Upon termination, your right to use the Platform ceases immediately. We may retain your data as required by law or as described in our Privacy Policy. You may request data deletion in accordance with our Data Deletion Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
